FRAMEWORK AGREEMENT FOR PROJECT MANAGEMENT AND CONSULTING SERVICES FOR ROAD AND UTILITY NETWORK OPERATIONS (VRD)

The contract is a single-award framework agreement with purchase orders for both core and supplementary services, in accordance with Articles R. 2162-13 and R. 2162-14 of the French Public Procurement Code, with a maximum order value of €600,000 excluding VAT per 12-month period. The contract includes: 1. A fixed-price portion corresponding to the project management services. For each work operation, the contractor shall perform all the project management services constituting the fixed price, namely: - "Preliminary Studies" (EPR) or "Diagnostic" (DIA) missions; - "Preliminary Design" (AVP) mission; - "Design" (PRO) mission; - "Assistance with the Awarding of Works Contracts" (ACT) mission; - "VISA of Execution Studies" (VISA) mission; - "Management of the Execution of Works Contracts" (DET) mission; - "Assistance during Acceptance Operations" (AOR) mission. Each fixed price corresponds to a works operation. Its amount is determined by applying the corresponding remuneration rate to the estimated cost of the works for the operation, as indicated by the contractor in the Commitment Agreement. The details and content of these basic missions are specified in Chapter II of the Technical Specifications. 2. A section relating to additional missions at unit prices. Additional missions may be ordered by the buyer, depending on the needs of the operation. These services are remunerated based on the unit prices listed in the Unit Price Schedule (UPS). The details and content of these additional services are specified in Chapter III of the Technical Specifications. The contractor undertakes to implement an integration program for individuals facing particular social or professional difficulties (see Appendix 1 to the Special Conditions of Contract and Article 20 of these Special Conditions of Contract), in accordance with Articles L. 2112-2 and L. 2112-4 of the French Public Procurement Code. This contract takes effect on January 1, 2027, for an initial period of 12 months. It is then tacitly renewed four times for periods of 12 months each, starting from the anniversary date, without its total duration exceeding five (5) years. Pursuant to Article R. 2122-7 of the French Public Procurement Code, the contracting authority may award, without prior advertising or competitive bidding, a contract for the provision of services similar to those covered by this contract, under the conditions stipulated by the applicable regulations. The advance payment is conditional upon the holder, unless a public body, providing a first-demand guarantee covering 100% of the advance amount. Personal and joint guarantees are not permitted.
